Who We Are
The Office of the General Counsel (OGC) acts as the primary advocate to protect the institution against current and future legal issues and obstacles. The OGC provides legal advice and coordinates legal representation for the University as a whole. The General Counsel is the University's attorney.
A service-oriented office, the OGC advises the Trustees, President, administrators, faculty and staff on relevant statutory laws, court decisions, and administrative regulations of the state and federal government necessary for the performance of their responsibilities.
As the University's in-house attorney, the General Counsel advises, both in a proactive and responsive manner, on matters that could have legal implications for the University, its contractual obligations, governance, policies and procedures.
Adopting the philosophy that an ounce of prevention is worth a pound of cure, the OGC believes deeply in the proactive practice of law and therefore strongly encourages all members of the Fairleigh Dickinson community to consult with the OGC before issues arise or as soon as possible thereafter.
The General Counsel will select outside counsel when necessary and coordinates all services rendered by outside counsel. Similarly, all communications from outside attorneys should be referred to the OGC.
The General Counsel also serves as Secretary of the Board of Trustees, working with the Board to carry out their duties and obligations in conformance with its bylaws and the common law.
John M. Codd
B.S. in Economics from City University of New York, 1983; J.D. from New York Law School, 1988. John has more than 20 years experience as a corporate attorney managing a wide range of legal affairs for national firms. He is the recipient of the 2009 Mid-Size Transaction of the Year award from the Turnaround Management Association, Chicago/MidWest.
Assistant to the General Counsel
Bachelor of Science in Elementary Education, Fairleigh Dickinson University, 1964. Martha worked for a law firm in Ridgewood, New Jersey for 12 years and for the Hepatitis Foundation before starting to work for the OGC in August, 2002.
Associate of Fine Arts, Sullins College, 1974; American Institute for Paralegal Studies, 1984. Barbara has worked as a paralegal in various industries with a specialty in contracts. Before joining the University, Barbara served as internal compliance auditor and contracts coordinator for Robert Half International.

Please remember that communications through e-mail are not necessarily secure and hence their confidentiality cannot be guaranteed.
Although the OGC provides legal services to both the University and members of the University community acting in their official capacities, it does not provide personal legal services for individual members of the University community outside the scope of their business as University employees.
